1. Acceptance of Terms

• Attempt unauthorized access to our systems, servers or databases.
• Transmit malware, viruses, harmful code or malicious software.
• Use the Services for fraudulent, deceptive or illegal activities.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. You agree to notify us immediately of any unauthorized access, suspected breach or misuse of your account.

4. Intellectual Property

All software, designs, trademarks, logos, content, features and intellectual property associated with MGCE Properties are owned by MGCE Properties or its licensors. You are granted a limited, non-exclusive, revocable and non-transferable license to access and use the Services in accordance with these Terms.

5. Payment & Billing

• Subscription fees are payable in advance unless otherwise agreed.
• All pricing is subject to change with reasonable notice.
• Failure to pay may result in suspension or termination of Services.
• Refunds, where applicable, will be handled according to our refund policy.

6. Termination of Services

We reserve the right to suspend or terminate access to the Services if:

• You violate these Terms.
• Required by law or regulatory authorities.
• The Services are discontinued or materially altered.

8. Indemnification

You agree to indemnify and hold harmless MGCE Properties, its directors, employees, affiliates and partners from any claims, losses, liabilities, damages and expenses arising from your use of the Services or violation of these Terms.

9. Modifications to Terms

We may update these Terms periodically. Continued use of the Services following any modifications constitutes acceptance of the updated Terms.

10. Subscription Plans and Renewals

Certain features of MGCE Properties are available through paid subscription plans. Subscription fees must be paid according to the selected billing cycle. Failure to maintain an active subscription may result in restricted access to premium features.

11. Property & Tenant Data

Users retain ownership of property, tenant and financial records entered into the platform. Users are responsible for ensuring that all collected information complies with applicable data protection and privacy laws.

12. Communication Services

MGCE Properties may provide SMS, WhatsApp, email and notification services. Users are responsible for obtaining necessary consent from recipients and ensuring compliance with applicable communication regulations.

13. M-Pesa & Payment Services

Payment processing services may be provided through third-party providers such as M-Pesa. MGCE Properties is not responsible for outages, transaction failures or delays caused by external payment systems.

14. Availability of Services

While we strive to maintain uninterrupted Services, temporary downtime may occur due to maintenance, updates, infrastructure issues or circumstances beyond our control.

15. Backup & Recovery

Although we may maintain periodic backups, users are encouraged to retain copies of important records. We do not guarantee recovery of all data under every circumstance.

16. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

17. Force Majeure

MGCE Properties shall not be liable for delays or failures resulting from events beyond reasonable control, including natural disasters, power outages, telecommunications failures, government actions or cyberattacks.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya.

19. Severability

If any provision of these Terms is deemed unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and related policies, constitute the entire agreement between you and MGCE Properties concerning the Services.
